1. Agreement & Acceptance

These Terms & Conditions ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an entity, "Client", "User", or "you") and Syncoders AI Sdn Bhd (Company Registration No.: 1440887-A) ("Company", "we", "us", or "our").

By visiting our website, purchasing our software subscriptions, contracting bespoke development, or making payments through our payment gateway, you confirm that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the services.

2. Description of Services

Syncoders AI Sdn Bhd provides professional technology and software engineering solutions, including but not limited to:

• Custom Web Application & Frontend/Backend Development.
• iOS and Android Native and Cross-Platform Mobile Application Development.
• Desktop Software & Enterprise System Engineering.
• AI & Cognitive Computing Solutions, Machine Learning integrations, and Automation.
• Cloud-hosted Software-as-a-Service (SaaS) platforms and digital subscription licenses.

3. Payment Terms & Currency

All quotations, invoices, and online transactions on our website are denominated and processed in Malaysian Ringgit (MYR) unless explicitly stated otherwise in a formal written agreement.

• Payment Methods: We accept online payments via accredited payment gateways supporting FPX Online Banking, Credit/Debit Cards (Visa/MasterCard), and authorized E-Wallets.
• Project Milestones: Bespoke development projects are invoiced based on mutually agreed milestone schedules (e.g. deposit, MVP release, final deployment). Deliverables are released upon receipt of respective milestone payments.
• SaaS Subscriptions: Recurring subscriptions are billed in advance on a monthly or annual cycle. Renewal charges are processed automatically unless cancelled prior to the renewal date.
• Taxes: All payments are subject to applicable Malaysian statutory taxes (e.g., Sales & Service Tax - SST) where legally mandated.

4. Intellectual Property Rights

Unless otherwise indicated in a written Statement of Work (SOW):

• Custom Deliverables: Upon full and final settlement of all agreed project fees, the intellectual property rights in the bespoke code, customized graphics, and specific designs created for the Client shall be assigned to the Client.
• Proprietary Frameworks & Background IP: Syncoders AI Sdn Bhd retains all ownership, rights, and title to its pre-existing code libraries, reusable algorithms, AI modules, design frameworks, and SaaS platforms. The Client is granted a perpetual, non-exclusive license to use such background IP as integrated within their specific solution.
• Company Brand: All Syncoders AI trademarks, logos, and website assets remain the exclusive property of Syncoders AI Sdn Bhd.

5. User Obligations & Acceptable Use

When utilizing our services or website, you agree not to:

• Use the services for any illegal, fraudulent, or unauthorized purpose under Malaysian or international law.
• Attempt to decompile, reverse engineer, or extract source code from our proprietary SaaS platforms or AI models without authorization.
• Introduce malware, viruses, worms, or any malicious code designed to disrupt or impair system performance.
• Provide false, deceptive, or misleading registration and billing information during checkout.

6. Limitation of Liability & Warranties

To the maximum extent permitted by applicable Malaysian law, our services and software are provided on an "as is" and "as available" basis. While Syncoders AI Sdn Bhd exercises professional diligence and quality assurance:

• We do not guarantee that software or cloud services will be completely error-free or uninterrupted 100% of the time, though we provide prompt maintenance and bug fixes during agreed warranty support periods.
• In no event shall Syncoders AI Sdn Bhd, its directors, employees, or agents be liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profit, loss of revenue, or loss of data resulting from service usage.
• Our aggregate liability for any claims arising out of or related to these Terms shall be limited to the total fees actually paid by the Client to us during the three (3) months preceding the incident giving rise to liability.

7. Governing Law & Dispute Resolution

Jurisdiction: The parties irrevocably agree that the courts of Malaysia (including the High Court of Sabah and Sarawak at Sibu/Sarawak) shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions.

Amicable Settlement: Before initiating any formal legal proceedings, both parties agree to engage in good-faith consultations and negotiation for a period of at least thirty (30) days to reach an amicable resolution.

8. Termination

We reserve the right to suspend or terminate your access to our services or SaaS platforms immediately, without prior notice or liability, in the event of a material breach of these Terms, non-payment of legitimate invoices, or engaging in unauthorized or unlawful activities.

9. Modifications to Terms

We may update or modify these Terms & Conditions from time to time to reflect regulatory changes or operational updates. Any revisions will become effective immediately upon being published on this page, with an updated revision date.
